1. Agreement to Terms
By accessing or using LiveLync, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this platform.
2. Platform Description
LiveLync is a marketplace platform that connects artists, performers, DJs, and bands with venues and event organizers. We facilitate bookings but are not a party to the agreements between artists and clients.
3. User Accounts
When you create an account with us, you must provide accurate and complete information. You are responsible for:
- Maintaining the security of your account
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
4. Bookings and Payments
When booking through LiveLync:
- A 10% service & guarantee fee is added to all bookings to ensure platform security, payment processing, and dispute protection
- Payments are processed securely through Stripe
- Artists are responsible for delivering agreed-upon services
- Clients are responsible for payment and providing necessary event details
- Cancellation policies are determined between artists and clients
5. Artist Responsibilities
If you register as an artist, you agree to:
- Provide accurate information about your services and availability
- Honor confirmed bookings or provide reasonable notice of cancellation
- Maintain appropriate licenses, insurance, and permits for your performances
- Comply with all applicable laws and regulations
5a. International Bookings and Licensing
IMPORTANT: Users are solely responsible for ensuring compliance with all applicable laws, regulations, and licensing requirements.
For international bookings and performances, this may include but is not limited to:
- Music Performance Rights: Licenses from performing rights organizations (e.g., ASCAP, BMI, PRS, SOCAN) in the country of performance
- Work Permits and Visas: Legal authorization to work or perform in the destination country
- Entertainment/Business Licenses: Local permits required to provide entertainment services
- Tax Obligations: Registration and compliance with local tax authorities for cross-border payments
- Payment Processing Regulations: Compliance with international money transfer laws and currency regulations
- Insurance Coverage: Appropriate liability and professional insurance valid in the performance jurisdiction
LiveLync does not provide legal or tax advice. Users must consult with qualified legal and tax professionals in relevant jurisdictions to ensure full compliance. LiveLync is not responsible for any violations of local, national, or international laws by users.
6. Venue/Client Responsibilities
If you book artists through LiveLync, you agree to:
- Provide accurate event details and requirements
- Ensure payment for confirmed bookings
- Provide safe working conditions for performers
- Comply with all applicable laws and regulations
7. Prohibited Conduct
You may not:
- Use the platform for any illegal purpose
- Circumvent the platform to avoid fees
- Post false or misleading information
- Harass, abuse, or harm other users
- Interfere with the platform's operation
8. Independent Contractor Relationship
IMPORTANT: Artists on LiveLync are independent contractors, NOT employees or agents of LiveLync.
By using the platform, you acknowledge and agree that:
- Artists are solely responsible for their own performances, conduct, and compliance with all applicable laws
- LiveLync does not supervise, direct, or control artist performances
- Artists are responsible for their own taxes, insurance, licenses, and business operations
- The relationship between artists and venues/clients is direct and independent
- LiveLync provides technology services only and does not employ or represent artists
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
LiveLync acts as a marketplace platform only. We provide technology to connect users but are not a party to any agreements between artists and clients.
LiveLync is NOT responsible for and expressly disclaims liability for:
- Performance Quality: The quality, professionalism, or suitability of any artist's services
- Cancellations or No-Shows: Artist or client cancellations, failures to appear, or schedule conflicts
- Injuries or Damages: Any personal injury, property damage, or losses occurring at events
- Disputes: Disagreements, conflicts, or legal disputes between users
- Payment Issues: Refund requests, payment disputes, or financial losses (beyond processing payments through Stripe)
- Accuracy of Information: The accuracy or completeness of profiles, rates, or availability posted by users
- Compliance: User compliance with laws, regulations, licenses, or permits
- Third-Party Actions: Actions or omissions of third-party service providers
IN NO EVENT SHALL LIVELYNC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOST DATA, OR COST OF SUBSTITUTE SERVICES.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT OF FEES PAID BY YOU TO LIVELYNC IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS LESS.
10. Indemnification
You agree to indemnify, defend, and hold harmless LiveLync, its owners, officers, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use of the platform or services
- Your breach of these Terms of Service
- Your violation of any law or the rights of third parties
- Any content or information you submit to the platform
- Disputes with other users
- Your performances or events (for artists)
- Your hosting of events (for venues/clients)
This indemnification obligation survives termination of your account and continues indefinitely.
11. Insurance Requirements
Artists are strongly encouraged to maintain:
- General liability insurance covering performance activities
- Equipment insurance for instruments and gear
- Professional liability insurance (errors and omissions)
Venues/Clients are strongly encouraged to maintain:
- General liability insurance for their premises
- Event insurance for specific performances
LiveLync's platform fees do NOT include insurance coverage for users. You are solely responsible for obtaining appropriate insurance.
12. Dispute Resolution
Disputes between artists and clients should be resolved directly between the parties. LiveLync may provide assistance but is under no obligation to mediate disputes or provide refunds.
Arbitration Agreement:
Any dispute or claim arising out of or relating to these Terms or the platform shall be resolved by binding arbitration rather than in court, except you may assert claims in small claims court if they qualify. The Federal Arbitration Act governs the interpretation and enforcement of this provision.
You and LiveLync agree to waive the right to a trial by jury.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which LiveLync is legally organized, without regard to conflict of law provisions.
14. Termination
We may suspend or terminate your account at any time for:
- Violation of these Terms of Service
- Fraudulent or illegal activity
- Multiple complaints from other users
- Non-payment of fees
- Any reason at our sole discretion
You may terminate your account at any time by contacting us. Upon termination, your right to use the platform ceases immediately.
15. Intellectual Property
The LiveLync platform, including its design, features, and content (excluding user-submitted content), is owned by LiveLync and protected by copyright, trademark, and other intellectual property laws.
By submitting content (photos, videos, bios, etc.), you grant LiveLync a non-exclusive, worldwide, royalty-free license to use, display, and promote your content on the platform and in marketing materials.
16. Changes to Terms
We reserve the right to modify these terms at any time. We will notify users of significant changes via email or platform notice. Continued use of the platform after changes constitutes acceptance of the modified terms.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining terms shall remain in full force and effect.
